THERE ARE TWO WAYS TO PARTICIPATE IN THE "SITESEER CHALLENGE" ("Promotion" or "SiteSeer Challenge"):

(a) Video Submission and Contestant Team Travel Rounds:

You and a partner may jointly submit a video with the goal of becoming a SiteSeer Challenge Contestant Team that will participate in the Contestant Team Travel Rounds of the program (see below) and/or,

(b) Voting Rounds/Periods:

You may participate as a SiteSeer Challenge Voter, without entering to become a Contestant Team. Depending on how Voters register to vote, they may also receive bonus SkyMiles when they cast votes for Contestant Team videos during SiteSeer Challenge Voting Rounds/Periods (see Rule #5).

1. ELIGIBILITY:

(a) Eligibility Requirements:

The Video Submission Portion and Contestant Team Travel Rounds of the Delta SiteSeer Challenge are open and offered only to legal residents of the 50 United States or District of Columbia, who are 21 years of age or older, Delta SkyMiles ("SkyMiles") members and valid U.S. passport holders at time of Entry/video submission (and no later than 7/5/07). If you are not already a SkyMiles member with a valid SkyMiles number, you may become a member and obtain a number at no cost by following the directions in Rule 1(b) below. Employees, officers and directors of Delta Air Lines ("Delta" or "Sponsor") and their respective affiliates and subsidiary companies, advertising, website and promotion agencies, and persons engaged in the development of Promotion materials and Promotion activities, and members of their immediate family (parents, siblings, children and spouse, wherever they reside) or household members (whether or not related) of such employees, officers and directors, are not eligible to participate in the Video Submission Portion or Contestant Team Travel Rounds of the Promotion. Individuals who are professional filmmakers, directors, actors/actresses, spokespeople, newscasters, or who are engaged in the travel service or travel profession, or who are engaged in a similar profession, or make any portion of their income in connection with these activities, are also not eligible to participate in the Video Submission Portion or Contestant Travel Round Portion of the Promotion. The Sponsor and judges will make any rulings on what constitutes a "similar profession" for purposes of eligibility and their decisions are final. To participate in the Voting Portion of the Promotion ("Voting Rounds/Periods"), you must be a legal resident of the 50 United States or District of Columbia, 18 years of age or older. Employees, officers and directors of Delta and their respective affiliates and subsidiary companies, advertising, website and promotion agencies, and members of their immediate family or household and professional filmmakers, directors, actors/actresses, spokespeople, newscasters, or individuals who are engaged in the travel service or travel profession, or who are engaged in a similar profession, or make any portion of their income in connection with these activities, are eligible to participate in the Voting Portion of the Promotion. By participating, you agree to these Official Rules and all decisions of Sponsor and/or its designee, which are final and binding in all respects. Void where prohibited.

(b) To Obtain A SkyMiles Number:

If you are not already a SkyMiles member and in order to obtain a SkyMiles number, visit delta.com/skymiles or call 1-800-323-2323 (no purchase is necessary to obtain a SkyMiles number). Membership is free. All SkyMiles program rules apply to SkyMiles program membership, miles, offers, mile accrual, mile redemption and travel benefits. To review the rules, please visit delta.com/memberguide. Taxes and fees for award travel are the responsibility of the passenger and must be paid at the time the ticket is booked. Please visit delta.com/fees for current fee schedule. Award travel seats are limited and may not be available on all flights or in all markets. Partner airline benefits subject to change and subject to the terms and conditions of each partner. All SkyMiles awarded in this Promotion (for Prize and Voting) will be bonus miles and do not count toward Medallion qualification or Million Miler status. SkyMiles offer void where prohibited by law and other restrictions may apply.

2. PROMOTION PERIOD:

The SiteSeer Challenge is scheduled to begin on 6/15/07 and end on 9/20/07, with three (3) participation areas as follows:

(a) Video Submission Portion:

The Video Submission Portion of the Promotion begins on 6/15/07 at 12:01 AM Eastern Daylight Time (EDT) and ends 7/5/07 at 11:59:59 PM, (EDT);

(b) Contestant Team Travel Rounds:

The Contestant Team Travel Rounds are scheduled to begin on or about 7/26/07, and are expected to end, on or about, 9/9/07 {see Rule #6 (b) for individual Contestant Team Travel Round dates);

(c) Voting Rounds/Periods:

Four (4) Voting Rounds/Periods are scheduled during the Promotion as follows:

Round I - Voting Round/Period is scheduled to begin on 8/6/07 about Noon, EDT, and end on 8/8/07 at 8:00 PM, EDT; the Round II - Voting Round/Period is scheduled to begin on 8/20/07 about Noon, EDT, and end on 8/22/07 at 8:00 PM, EDT; the Round III - Voting Round/Period is scheduled to begin on 9/3/07 about Noon, EDT, and end on 9/5/07 at 8:00 PM, EDT, and the Round IV - Voting Round/Period is scheduled to begin on 9/17/07 about Noon, EDT, and end at 11:59:59 PM, EDT, on 9/19/07. Any changes in Voting Round/Periods (dates or times) will be posted at www.delta.com/challenge.

The SiteSeer Challenge computer is the official time keeping device for this Promotion.

3. TO ENTER THE VIDEO SUBMISSION PORTION OF THE SITESEER CHALLENGE:

You must create a digital video with sound in which you and your Team mate ("Team") demonstrate to the judges, "Why you would be the best SiteSeer Challenge Contestant Team." Judges will be looking for a fresh, original and convincing approach to persuade them that you and your teammate can bring a travel destination to life. They will also be looking for your on-camera personality, presentation and storytelling skills, enthusiasm for the SiteSeer Challenge and overall ability to persuade people to want to travel, all encapsulated in a two (2)-minute video. This video will be your "screen test" to participate.

Both Team members must appear in the video and during the video each Team member must speak his/her complete name. While you are certainly not required to feature a location in your video, if you elect to do so, you must first secure any permissions, licenses, releases or permits that are required before, including any shots of the location not within the public domain. The video file can be no more than 30MB in size and a maximum of two (2) minutes in playtime, and be in AVI, MPEG, MOV or WMV format, 320 x 240. No other formats will be accepted. Videos cannot be changed, altered, modified, or enhanced by use of computer software programs or any other means, except that videos may be edited only to the extent of cutting scenes and clips so that they are juxtaposed. Whether a video complies with the stated editing exception shall be as solely determined by Sponsor. Team must retain all footage used to make the video, and Sponsor reserves the right to request all footage related to a video submission and a Team may be disqualified for not complying with such request. When your Team has completed your video, the video must be uploaded following the directions at www.delta.com/challenge (the "Web Site") and you must provide the information requested on the online video submission form, including complete name and SkyMiles number of both Team members and the Contact Team member's phone number and email address. Each Team must designate one Team member as the Contact Team member and the Sponsor will only be required to communicate with that Contact Team member, who is then responsible for communication with the other Team member. Before submitting your Team member information and video, you must certify that you have read and agree to these Official Rules (together, an "Entry"). After the video is uploaded, wait for the confirmation message to ensure that your Entry has been accepted by the system. If you do not receive a confirmation message, your Entry has not been accepted. Completion of an online video submission form and the uploading of a video must be accomplished together (video submission form completion without a video upload/submission, or video submission without a video submission form being completed, will not be accepted). Entries must be received and recorded by the SiteSeer Challenge computer by 7/5/07 at 11:59:59 PM, EDT.

Each Team/person may submit only one (1) Entry. Any attempt by a Team, or person, to submit more than one (1) Entry by using multiple/different email addresses, SkyMiles numbers, identities or any other methods will void that Team/Person's Entries and that Team, and each member of that Team, or person, will be disqualified. No form of entry other than as stated in these Official Rules will be accepted. Entries that do not comply with these Official Rules will be disqualified.

Once a video is submitted it cannot be changed, altered or modified, becomes the sole property of Sponsor and will not be returned. Correspondence and inquiries concerning the Promotion will not be accepted or acknowledged. Any Entry, which in the sole opinion of Sponsor or its designee, is deemed to be inappropriate for publication will be disqualified. Entries (a) must be the original and sole creation of the submitting Team, and all right, title and interest including but not limited to the copyright in any Entry, must be owned solely by the submitting Team or one of the Team members, (b) may not have been submitted in any other competition, (c) may not have been published, (d) may not infringe upon any third party's rights, including but not limited to copyright, patent or trademarks/trade names/logos, or rights of privacy or publicity, or contain material that is or may be considered defamatory, slanderous or libelous, or portray or depict any person or entity in a false light, (e) may not violate any law, rule or regulation, (f) may not contain any computer virus, bugs, or other deleterious material, and (g) may not, for example but not limited to, contain full or partial nudity, profanity, defamatory statements, words or symbols widely considered offensive to individuals of certain race, ethnicity, religious, sexual orientation or socioeconomic groups, threats to any person, place, business, group or world peace; and each Team member warrants and represents his/her Team Entry complies with all of those conditions. Any non-complying Entries will be subject to disqualification. Entries cannot contain, among other things, the trademark, trade name or logo of any third party or entity or product, cannot name, depict or describe any person (living, dead, or fictional) other than the Team members or persons who may appear incidentally and cannot be identified, cannot contain the voice or voices (other than as background sounds) of any third party or parties other than the Team members, cannot contain any music, and cannot contain any material that is protected by copyright. By entering, each Team member grants permission for the use of the Entry, and his/her name, to be posted on the Internet (on the Web Site and any other web site) in connection with the SiteSeer Challenge, and the advertising, promotion, and publicity of the SiteSeer Challenge, and otherwise, as stated in these Official Rules (as solely determined by Sponsor), and each Team member warrants and represents that he/she has all right and authority to grant such permission, including but not limited, permission from any participating videographer. Notwithstanding anything to the contrary, however, there is no obligation of the Sponsor or any other person or entity to post or make any use of the Entry of any particular Team.

Any Team member may be required to obtain written permission and/or provide releases and/or licenses/or an assignment from any videographer involved in the shooting of the Entry video, and as solely determined by Sponsor, to post the Entry and/or to otherwise use the video in accordance with the requirements of the SiteSeer Challenge, its advertising, promotion, and publicity, and these Official Rules. The form of any such permission, release, license or assignment will be as solely determined by Sponsor. Failure by Sponsor to request such permission(s), release(s), license(s) or assignment(s) is not a waiver of Sponsor's right to require same, and each entrant acknowledges that failure to comply with any such request may cause disqualification. By entering, entrant agrees to indemnify and hold harmless the Released Parties (as defined below) from any action or liability resulting from the posting or publishing of his/her Entry video and/or use of the Entry video as otherwise permitted by these Rules.

4. PRELIMINARY JUDGING AND SEMI-FINALIST/FINALIST DETERMINATION:

(a) Preliminary Judging:

Each eligible Entry received and recorded by the Promotion computer (by 11:59:59 PM, EDT, 7/5/07, and as outlined above) from eligible entrants will be judged by a judging panel selected by Sponsor and the judges' decisions are final and binding on all judging matters. Preliminary Judging will focus on the Entry videos, based on the following criteria and with the following points available for each criterion: (1) Originality and Creativity of Team's presentation (0-20 points); and (2) Team's ability to convince the Judges that they would be the best SiteSeer Challenge Team (0-80 pts). The videographic quality of the videos will not enter into the judging/scoring of the videos. The 10 Teams (provided that there are at least 10 eligible Entries) submitting the videos with the highest Preliminary Judging scores will be deemed the potential 10 Semi-Finalists. In the event of a tie, the Entry with the highest score in the "Team's ability to convince the Judges that they would be the best SiteSeer Challenge Team" criterion will be declared the tie Semi-Finalist. If a tie continues, the tied Entries will be re-judged by one (1) new Judge who will serve as the tiebreaker using the same criteria as stated above.

(b) Semi-Finalist Team Clearance:

The Contact Team member of each of the potential 10 Semi-Finalist Teams will be notified by mail, overnight mail, email or phone, or in such other manner as determined by Sponsor, on or about 7/16/07. Semi-Finalist Teams will be contacted using the Contact Team members' phone number and/or email address provided in the video submission form. Both members of each Semi-Finalist Team will be required to complete, sign and return a Participation Contract that will include confirmation of all Participant Responsibilities, an Affidavit of Eligibility, where lawful a Publicity Release, a Liability Release, Submission Release/Work Made for Hire Release and Rights Transfer, Background Check Assurances with Morals Clause, Medical Release/Certification of fitness, proof of passport, and such documents and releases as may be required, within three (3) days of attempted notification. If documents are not returned timely, or are returned as non-deliverable, or if a potential Semi-Finalist Team (or either Team member) is found to be ineligible or not in compliance with these Official Rules, the Semi-Finalist status may be forfeited and awarded to an alternate Team. Each Semi-Finalist Team member agrees that if selected, the Sponsor, in its sole discretion, may conduct a background check, including, but not limited to, civil, financial, driver-history, any drug or alcohol abuse, criminal convictions and lawsuits, either settled or still pending. Each Semi-Finalist Team member agrees to cooperate with Sponsor in order to conduct a background check, if requested. Sponsor reserves the right (in its sole discretion) to disqualify a Semi-Finalist Team member based on the background check results or a Semi-Finalist Team member's unwillingness to cooperate with the background check process.

(c) Semi-Finalist Team Telephone Interviews:

The ten (10) potential Semi-Finalist Teams must also participate in a 10-15 minute telephone interview and an interview email notification will be sent to the Semi-Finalist Team Contact Team member approximately two (2) days prior to the interview date. The email notification will confirm the date and time for the interview plus provide a dial-in number and pass code for the interview. Both Semi-Finalist Team members must call the dial-in number (and use the pass code provided) at the interview time provided. If any Semi-Finalist Team or Semi-Finalist Team member is unable to participate in the telephone interview, as outlined above, for any reason whatsoever, that Semi-Finalist Team may be disqualified. During the phone interview, each Semi-Finalist Team will be asked to respond to the same questions. Each completed telephone interview will be judged based on the following Telephone Interview criteria: Team and Team member's overall verbal communication skills, including, clarity, thought organization and presentation, proper use of vocabulary, vocal modulation and animation (40%); level of enthusiasm for becoming a SiteSeer Challenge Contestant (40%); and sincerity in connection with follow through in all Contestant Team requirements (20%). Each Team member grants permission to Sponsor to record and retain the interview.

(d) Final Contestant Scores Determine the Five (5) Contestant Teams:

Video scores for the Ten (10) Semi-Finalist Teams will represent 75% of the Final Team Score and the Telephone Interview scores will contribute 25% to the Final Team Score. The five (5) Semi-Finalist Teams with the highest Final Team Scores will be deemed the Siteseer Challenge Contestant Teams, and will be notified by phone and email, on or about 7/25/07, to proceed to Contestant Team Travel Round I. In the case of a tie in this round of Judging, the Team with the highest video score will be declared the tie winner. The Contact Member of a Contestant Team will be notified by mail, overnight mail, email or phone, or in such other manner as determined by Sponsor. Remaining Semi-Finalist Teams (lower-scoring Teams) will not participate in the Contestant Team Travel Rounds, unless they are subsequently deemed to be an Alternate Contestant Team that will replace a disqualified Contestant Team (as outlined below).

5. REGISTER TO VOTE AND VOTING FOR CONTESTANT TEAM VIDEOS IN VOTING ROUNDS/PERIODS:

There are two (2) ways to register to vote for Contestant Team Travel Round videos:

(a) SkyMiles Voters:

If you are a SkyMiles Member, you must register to vote at www.delta.com/challenge, beginning 11:59:59 PM, EDT, on 7/25/07 and before the final Voting Round/Period has concluded, on or about 9/19/07. In order to register to vote as a SkyMiles voter, you will need to provide your SkyMiles number. Only individuals who register to vote as SkyMiles Voters are eligible to receive bonus SkyMiles for voting. If you do not have a SkyMiles number, you may obtain one at no cost by following the directions in Rule #1(b) above or alternatively, you may elect to vote as a Non-SkyMiles Member {see Rule #5 (b)}. Limit one (1) SkyMiles Member registration to vote per person, name, address, email address and/or SkyMiles number throughout the Promotion.

(b) Log-in Voter/Voting without a SkyMiles Number:

If you are not a SkyMiles Member and do not wish to become a member, you can register to vote without a SkyMiles number/membership, at www.delta.com/challenge, beginning 11:59:59 PM, EDT, on 7/25/07 and before the final Voting Round/Period has concluded, on or about 9/19/07. If you register to vote as a Log-in Voter (without a SkyMiles number/membership), you must provide your complete name and address for initial registration and you will then be given the opportunity to create a unique voter log-in to use for voting for the duration of the Promotion. Important: An individual that registers to vote as Log-in Voter {in lieu of becoming a SkyMiles Voter per Rule#5 (b) above}, will not receive bonus SkyMiles when they vote. If a voter initially registers to vote as a Log-in Voter and then subsequently becomes a SkyMiles member, he/she will not receive bonus SkyMiles retroactively for any Voting accomplished during prior Voting Rounds/Periods, and he/she cannot re-register to participate as a SkyMiles Voter for the duration of the Promotion. Limit one (1) Log-in Voter registration to vote per person, name, address, and/or email address throughout the Promotion.

(c) Voting in Voting Rounds/Periods:

Once an individual has registered to vote, they can opt-in to receive email notification of any subsequent Voting Rounds/Periods. The scheduled dates of each Voting Round/Period are listed in Rule #2, and will also be posted at www.delta.com/challenge.

Once registered to vote, you may visit www.delta.com/challenge during a Voting Round/Period, provide your SkyMiles number or unique Voter Log-in, and then cast a maximum of one (1) vote in each Voting Round/Period for the "Video that Most compels you to want to visit the featured destination". There are four (4) Voting Rounds/Periods expected throughout the SiteSeer Challenge. Voting may only be accomplished during a Voting Round/Period and once voting for a Voting Round/Period closes, you may not visit the site at a later date and retroactively vote in an earlier Voting Round/Period. Once a vote is cast that vote cannot be changed, altered, or modified. Voters cannot vote with multiple email addresses, SkyMiles numbers, names or addresses, or by using any other device or artifice to vote more than once in each Voting Round/Period; and any Voter who does so may be disqualified and if applicable, will have any SkyMiles obtained by voting forfeited.

If you register to vote as a SkyMiles Voter {per 5 (a) above}, you can receive 250 bonus SkyMiles for voting in each of the four (4) scheduled Voting Rounds/Periods, plus SkyMiles Voters can also receive a bonus of 1,000 bonus SkyMiles if they Vote in any three (3) of the four (4) Voting Rounds/Periods, for a maximum of 2,000 bonus SkyMiles received per SkyMiles Voter (per person, name and address, email address and/or SkyMiles number) throughout the Promotion. In the unlikely event of cancellation of Contestant Team Travel Round IV and related Round IV Voting, due to Team disqualification (see Rule #6), any Voters that previously registered to vote as SkyMiles Voters (prior to the cancellation of Round IV being announced), will receive 250 bonus SkyMiles, the same number of Miles they would have received had they actually Voted in Round IV.

6. CONTESTANT TEAM TRAVEL ROUNDS AND VOTING ROUNDS/PERIODS

(a) RULES THAT APPLY TO ALL CONTESTANT TEAM TRAVEL ROUNDS, VIDEO EDITING AND CONTESTANT TEAM BLOGS

Each Contestant Team will receive: a comparable cash stipend for a trip; List of Challenges (goals for inclusion in the video) for the destination; Sponsor-designated Field Manager/Judge; video crew; car and driver/translator while at the destination; round-trip air travel from major gateway city nearest U.S. residence of the Contestant Team member serviced by Delta; and hotel accommodations at destination (double occupancy). Air travel class and hotel accommodations are as solely determined by Sponsor. Each Contestant Team member is solely responsible for his/her passport and for securing his/her own visa if applicable, and vaccinations or medications required or recommended for a destination. Further, Contestant Team members must comply with all security requirements to travel.

Each Contestant Team will be required to participate in at least one (1) Challenge included on the List of Challenges provided for a given destination. The balance of each Contestant Team's itinerary and activities during their time at the destination will be determined by the Contestant Team, however, Contestant Team itineraries and activities are subject to review by the Field Manager/Judge, who has the right and authority to reject any activity which in his/her sole opinion and discretion is deemed to be unsafe, profane, inconsistent with local cultural norms or otherwise objectionable or inconsistent with the goal of international respect and spirit of the SiteSeer Challenge and/or Delta brand image. The decisions of the onsite judges are final.

To ensure parity among Contestant Teams; Contestant Teams may not exceed the cash stipend provided by Sponsor for the trip, and Contestant Teams must retain all receipts to verify expenditures. Contestant Teams cannot supplement the cash stipend or use their own funds or other assets to impact or enhance any part of the trip. Only Contestant Team members can travel to the International destination during the Contestant Team Travel Round and Contestant Team members cannot bring to the destination/be joined at the International destination by any family, friends or others to participate in the trip or video creation, nor can they hire any local talent to act/participate in the video.

Each Contestant Team member must travel as specified by the Sponsor. Any Contestant Team member that misses the group departing flight or does not arrive back to the destination airport in time to board the group return flight, may be disqualified. Further, each Contestant Team member agrees and understands that Sponsor has the right, in its sole discretion, to disqualify a Contestant Team at any time if a Contestant Team member's behavior is deemed by the Sponsor to be disruptive, or may or does cause damage to any person, property or the reputation of Sponsor, or otherwise violates any law, rule or regulation, or violates the policies of the Sponsor, or a Contestant Team member does not follow the directions of Sponsor at all times.

Each Contestant Team's video crew will take a maximum of 36 hours of video during the trip, with a maximum of 12 hours (non-continuous) per day and the filming times will be somewhat flexible based on each Contestant Team's activities. Sponsor will confirm the actual video crew operation hours each day at each destination, and while operation hours may not include all day parts, and may vary by destination and Contestant Team, the number video crew operation hours will be the same for all Contestant Teams. Each Contestant Team Field Manager/Judge will secure onsite releases. At the end of the trip, Contestant Teams will confirm the final direction of their video with their Field Manager/Judge and all video footage taken during the trip will be edited to create a Contestant Team video to be aired at delta.com/challenge. The length of the Contestant Team video will range from 1-2 minutes, depending on the Round (I - IV) and as determined by the Sponsor, and the length of Contestant Team videos in a given Round will be the same. Each Contestant Team's video will be edited under the supervision of the Field Manager/Judge in consultation with the Contestant Team and Contestant Team members must be available at any editing times determined by the Sponsor. Field Manager/Judges will advise Contestant Teams if any footage is unauthorized for privacy, trademark or other reasons, and that footage will be disqualified. Editing will be done using stock music and Contestant Teams may not supplement the video or editing process in any way, for example but not limited to, commissioning private music or contributing any other personal asset during editing. The Sponsor and judges will make any rulings in this regard and their decisions are final.

A Contestant Team may not replace a Contestant Team member with another individual at any time after the Video Submission Portion of the SiteSeer Challenge and if a Contestant Team member withdraws from the competition, due to any reason, his/her Contestant Team will be disqualified. If a Contestant Team Member/Contestant Team is disqualified prior to Contestant Team Travel Round III commencing, an alternate Contestant Team will replace the disqualified Contestant Team for any remaining Contestant Team Travel Rounds. The Semi-Finalist Team with the 6th highest Final Team Score (per Rule# 4) will be deemed the Alternate/Replacement Contestant Team (and if additional Teams are disqualified, the Semi-Finalist Team with the next highest Final Team Score will be used for any subsequent Contestant Team disqualifications/Contestant Team replacements). If a Contestant Team is disqualified during Contestant Team Travel Round III, or prior to the Contestant Team Travel Round IV commencing, no Contestant Team replacement will be made, and the Contestant Team Travel Round IV and related Voting Round/Period may be cancelled. In the event that a Contestant Team is disqualified during the Contestant Team Travel Round III or prior to the Contestant Team Travel Round IV, the highest scoring Contestant Team after Round III Voting Round/Period will be deemed the Grand Prizewinner.

Contestant Team Blogs:

After Contestant Teams are notified, Delta will establish a Blog for each Contestant Team at www.delta.com/challenge. During a Contestant Team's remaining participation in the Challenge, Team members are expected to contribute written thoughts and comments about the SiteSeer Challenge, as well as post photographs that support their written contributions (hereinafter "Blog"). Contestant Teams must contribute to the Blog at least once a week while at home, and at least (3) times during a trip to a SiteSeer Challenge destination (ideally, Contestant Teams will Blog daily while at a destination). Each Contestant Team will be provided with a comparable laptop and digital camera to use while they participate and these items must be returned when a Contestant Team is eliminated or disqualified. Contestant Teams will also have comparable Internet access from a destination to access their Blogs. Contestants may only use the software provided by Sponsor to create their Blogs, and any photos posted at their Blog cannot be altered, except for cropping, color correction, or contrast correction. Blogs will be subject to review by a Delta Judge and Contestant Team Blog contributions must (a) be the original and sole creation of the submitting Team, and all right, title and interest including but not limited to the copyright in any Blog, must be owned solely by the submitting Team or one of the Team members, (b) may not have been published and may not be published by Contestant Teams in any other forum during the promotion, unless authorized, in writing, by the Sponsor (c) may not infringe upon any third party's rights, including but not limited to copyright, patent or trademarks/tradenames/logos, or rights of privacy or publicity, or contain material that is or may be considered defamatory, slanderous or libelous, or portray or depict any person or entity in a false light, (d) may not violate any law, rule or regulation, and (e) may not, for example but not limited to, contain full or partial nudity, profanity, defamatory statements, words or symbols widely considered offensive to individuals of certain race, ethnicity, religious, sexual orientation or socioeconomic groups, threats to any person, place, business, group or world peace; and each Contestant Team member warrants and represents his/her Contestant Team Blog will comply with all of those conditions. Any non-complying Contestant Team may be subject to the removal of their Blog privileges by Sponsor and any subsequent Blog text may also be edited or removed from the Web Site. Once a Contestant Team is disqualified/eliminated from the Promotion, their ability to contribute to the Blog will cease and the Blog may, at the Sponsor's sole discretion, be removed from the Web Site. By participating, each Contestant Team Member grants Sponsor and its designees permission to use the Blog and their contributions to the Blog, his/her name, picture, portrait, likeness and statements, and any intellectual property that they may produce such as photographs, on the Internet (on the Web Site and any other web site) in connection with this Promotion, in the advertising, promotion, and publicity of the Promotion, and otherwise, as stated in these Official Rules. Each Team member warrants and represents that their contributions to the Blog shall be valid and truthful in all respects, and should any photograph published by a Contestant Team member on the Blog contain a recognizable person, logo, or name any person, the Contestant Team shall secure a written release for the use of that photograph and/or name. The Contestant Team's content of each Blog will be deemed a Work Made For Hire under the Copyright laws of the United States, but if it cannot be so deemed, then each Contestant Team member irrevocably sells, assigns and transfers to Sponsor, all of Contestant Team member's right, title and interest in and to Contestant Team member's Blog contributions, including but not limited to all copyright and trademark rights, and waives any rights of droit moral in favor or Sponsor, which Contestant Team member may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. Upon request of Sponsor, each Contestant Team member shall execute and deliver such additional instrument of sale, transfer and assignment and droit moral waiver, as may be solely deemed by Sponsor, reasonably necessary to establish the ownership of record of the right, title and interest in and to the subject Blog and of the copyrights, droit moral waiver, and trademarks transferred. In the event that the law requires that a Contestant Team member receive compensation for such sale/transfer, the Contestant Team member will receive the sum of $100, plus he/she will also have received other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged. Should Sponsor fail to request the said additional instrument of sale, transfer and assignment and droit moral waiver, as stated, that shall not be deemed a waiver of Sponsor's rights and Sponsor may at a later time request that instrument, and the stated Contestant Team member agrees to honor and comply with such request. Additional Blog Terms of Use will apply and will be posted when the Blogs/Forums open at www.delta.com/challenge.

(b) CONTESTANT TEAM TRAVEL AND VOTING ROUNDS:

CONTESTANT TEAM TRAVEL ROUND I - Five (5) Contestant Teams

Each of the five (5) Contestant Teams will simultaneously travel to the same Round I International destination to create a Contestant Team video to "Most compel the SiteSeer Challenge online Voters to want to visit the Round I destination" (100% of judging the criterion and weight for this Round).

The International travel destination will be revealed to Contestant Teams as close to the same time as possible, and at least one (1) day prior to departure. Contestant Team Travel Round I is currently scheduled from 7/26/07 - 7/29/07, and travel dates are subject to change.

ROUND I - VOTING ROUND/PERIOD - Five (5) Videos

Up to five (5) Round I Contestant Team videos will be posted at delta.com/challenge and individuals that have registered to vote will watch all Contestant Team videos and then have the opportunity to vote for the one (1) video that "Most compels the Voter to want to visit the Round I destination" (100% voting criterion). Voters can cast only one (1) vote during the Round I Voting Round/Period.

All votes cast during this Voting Round/Period will be tallied and the four (4) Contestant Teams with the highest number of votes will proceed to Contestant Team Travel Round II. The one (1) Contestant Team with the lowest score will be eliminated.

CONTESTANT TEAM TRAVEL ROUND II - Four (4) Contestant Teams

Each of the remaining four (4) Contestant Teams will simultaneously travel to the same Round II International destination to create a Contestant Team video to: "Most compel the SiteSeer Challenge online Voters to want to visit the Round II destination" (100% of judging the criterion and weight for this Round).

CONTESTANT TEAM TRAVEL ROUND III - Three (3) Contestant Teams

Each of the remaining three (3) Contestant Teams will simultaneously travel to the same Round III International destination to create a Contestant Team video to: "Most compel the SiteSeer Challenge online Voters to want to visit the Round III destination" (100% of judging the weight for this Round).

The International travel destination will be revealed to Contestant Teams, as close to the same time as possible and at least one (1) day prior to departure. Contestant Team Travel Round III is currently scheduled from 8/23/07 - 8/26/07, and travel dates are subject to change.

ROUND III - VOTING ROUND/PERIOD - Three (3) Videos

Up to three (3) Round III Contestant Team videos will be posted at delta.com/challenge and individuals that have registered to vote will watch all Contestant Team videos and then have the opportunity to vote for the one (1) video that "Most compels the Voter to want to visit the Round III destination" (100% Voting criterion). Voters can cast only one (1) vote during the Round III Voting Round/Period.

All votes cast during this Voting Round/Period will be tallied and the two (2) Contestant Teams with the highest number of votes will proceed to Contestant Team Travel Round IV. The one (1) Contestant Team with the lowest score will be eliminated. If there is a Contestant Team disqualification during Contestant Team Travel Round III, and only two Contestant Team videos are aired for Round III Voting, the highest scoring video of the two (2) videos aired will be deemed the Grand Prizewinner.

CONTESTANT TEAM TRAVEL ROUND IV - Two (2) Contestant Teams

Assuming no disqualification (as outlined above), the remaining two (2) Contestant Teams will simultaneously travel to the same Round IV International destination to create a Contestant Team video to: "Most compel the SiteSeer Challenge online Voters to want to visit the Round IV destination" (100% of judging the criterion and weight for this Round).

The International travel destination will be revealed to Contestant Teams, as close to the same time as possible and at least one (1) day prior to departure. Contestant Team Travel Round IV is currently scheduled from 9/6/07 - 9/9/07, and travel dates are subject to change.

ROUND IV - VOTING ROUND/PERIOD - Two (2) Videos

Two (2) Round IV Contestant Team videos will be posted at delta.com/challenge and individuals that have registered to vote will watch both Contestant Team videos and then have the opportunity to vote for the one (1) video that "Most compels the Voter to want to visit the Round IV destination" (100% voting criterion). Voters can cast only one (1) vote during the Round IV Voting Round/Period.

All votes cast during this Voting Round/Period will be tallied and the Contestant Team with the highest number of votes will be awarded the Grand Prize and the Contestant Team with the lowest score will be eliminated.

CONTESTANT TEAM TRAVEL ROUND TIE-BREAKER

In the event of a tie in online voting during any Voting Period/Round, the Contestant Team videos from that Contestant Team Travel Round will be judged by a Delta Judging Panel that will break the tie by determining which of the tied videos the judging panel feels "Will most compel travelers to want to visit that Round's International destination."

7. POTENTIAL PROMOTION PERIOD CHANGE:

While the Promotion Period is currently scheduled as per Rule #2 above, the Sponsor reserves the right, due to excessive Entry volume, to delay the Semi-Finalist Determination/Clearances, Contestant Team Travel Rounds and related Voting Rounds/Periods. In this instance, Semi-Finalist Determination will be on or about 7/27/07, and Semi-Finalist Clearances and Telephone Interviews will be conducted from 7/28/07 - 8/3/07. Further, Contestant Team Travel Round I will be re-scheduled for 8/9/07 - 8/12/07; Contestant Team Travel Round II will be re-scheduled for 8/23/07 - 8/26/07; Contestant Team Travel Round III will be re-scheduled for 9/6/07 - 9/9/07; and Contestant Team Travel Round IV will be re-scheduled for 9/20/07 - 9/23/07. This delay in Contestant Team Travel Rounds will result in re-scheduled Voting Rounds/Periods as follows: Round I - Voting Round/Period will be rescheduled to begin on 8/20/07 about Noon, EDT and end on 8/22/07 at 8:00 PM, EDT; the Round II - Voting Round/Period will be re-scheduled to begin on 9/3/07 about Noon, EDT and end on 9/5/07 at 8:00 PM, EDT; the Round III - Voting Round/Period will be re-scheduled to begin on 9/17/07 about Noon, EDT and end on 9/19/07 at 8:00 PM, EDT, and the Round IV - Voting Round/Period will be re-scheduled to begin on 10/1/07 about Noon, EDT and end on 10/3/07 at 11:59:59 PM, EDT. If such a scheduling change/delay is imposed, individuals that opt-in to receive email notices will receive adjusted Voting notices and the revised Voting Round/Period dates will be posted at delta.com/challenge, along with a delay notice being posted above these Official Rules.

8. PRIZE:

One (1) Grand Prize - one million (1,000,000) SkyMiles, four hundred thousand (400,000) Hilton HHonors® bonus points plus $10,000 cash (Approximate Combined Retail Value - $34,000). The prize will be divided into two (2) equal shares, one (1) share being awarded to each Grand Prizewinning Contestant Team member. SkyMiles received for Voting and the Grand Prize will be posted to recipients SkyMiles accounts between 10/20/07 and 12/1/07. 9. GENERAL CONDITIONS:

By entering, to the extent permitted by law, entrants release and agree to indemnify and hold harmless Sponsor, Hilton Hotels Corporation, American Express Travel Related Services Company, Inc. and other participating companies, and their respective parent companies, affiliates, subsidiaries, advertising, public relations and promotion, fulfillment and/or judging agencies, Promotion judges, and all of their respective officers, employees, directors, representatives and agents (individually and collectively the "Released Parties") from all liability, claims, actions, or proceedings, losses, injuries and damages to person(s), including death, and property damage, whether due to negligence of a Released Party or otherwise, or the breach or failure of any representation or warranty, or obligation, or the violation of intellectual property or personal rights (such as but not limited to, copyright, patent, trade name/trademark, and/or rights of privacy or publicity, slander, libel, or portrayal in a false light) due in whole or in part to acceptance, possession, misuse or use of any prize, or participation in this Promotion, or participation in any Promotion-related or travel-related activity. By participating, each Contestant Team member consents (and agrees to confirm that consent in writing upon request) to Sponsor and those acting pursuant to the authority of Sponsor the right, in perpetuity, to the use of their name, voice, likeness, photo, and picture, any and all Promotion videos or other Promotion footage, recordings, statements and video, (and notwithstanding anything to the contrary in these Official Rules, licenses the use of the Entry video and Contestant Team video(s) which may be edited, modified, altered, changed, used alone, together or with other works, acts or content and/or used in distorted, illusory or composite form, with or without music, comment or commentary, all as solely determined by Sponsor) at any time or times in all media now known or hereafter discovered or devised, worldwide, including on the Internet/ World Wide Web, for advertising, commercial, trade and promotional purposes, without additional compensation unless prohibited by law, and without notice, review or approval. 10. LIMITATIONS OF LIABILITY:

The Released Parties are not responsible for lost, late, incomplete, stolen, misdirected, or illegible Entries, mail or email, or for any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt or jumbled transmissions, service provider/Internet/web site/use net accessibility, availability, or traffic congestion, or any technical error, or unauthorized human intervention, or the incorrect or inaccurate capture of registration, Entry, Votes, video(s), Blog contributions or other information, or the failure to capture, or loss of, any such information. The Released Parties are not responsible for any incorrect or inaccurate information, whether caused by Web site users, tampering, hacking, or by any of the equipment or programming associated with or utilized in the Promotion and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical error, theft or destruction or unauthorized access to, or use of, the Web sites.
